Back the AI operating system for capital markets.

OakTech Systems helps fund managers launch funds, raise capital, run diligence and fix operations with AI. It was profitable in 2025 and is raising a $3M SAFE as the first step toward a TSX Venture Exchange listing.

The problem

Private capital is a $15T industry still running on spreadsheets and PDFs.

Investment teams spend most of their time gathering data and little analyzing it. Every stage of a fund’s life, from launch to diligence, is slower and more manual than it needs to be.

12–18 moto launch a new fund
17.4 momedian time to close a fundraise
118 hrsof analyst time per deal
80 / 20time gathering data vs analyzing it

Industry figures as cited in OakTech’s investor materials (Preqin, PitchBook, PwC, McKinsey).

      Risk factors

      What could go wrong

Early-stage investing is high risk. These are the main risks management has identified; the offering documents set out the full list.

      Total loss is possible

A SAFE is speculative and illiquid. You could lose the full amount you invest.

      Conversion depends on the listing

The SAFE converts only if a Qualified CPC/RTO event happens. If it doesn’t, you hold a contractual right, not equity.

      Client concentration

With 11 active clients, losing one or two could materially reduce revenue.

      Key people

The business depends heavily on its founders and their networks.

      Services to software

Moving from a services-led model to scalable products is an execution risk.

      Related-party revenue

Several clients are funds or offices affiliated with OakTech’s principals.

      Regulation

Changes in fund-formation, securities or AI rules could affect the business.

      Market conditions

A weaker private-capital fundraising market would hit clients and OakTech alike.

      FAQ

      Questions investors ask first

      Who can invest?

Accredited investors only, as defined in Rule 501 of Regulation D. Each investor signs an investor certificate confirming their category and residence. Canadian investors must meet the applicable prospectus exemption confirmed by counsel.

      What exactly am I buying?

A post-money SAFE issued by OakTech Systems LP with a $25M valuation cap and no discount, interest or maturity. It converts into the listed, one-vote class of shares of the public company that results from a Qualified CPC/RTO event. It never converts into a partnership interest in OakTech Systems LP.

What happens if the CPC/RTO doesn’t happen?

On a sale or other liquidity event, you receive the greater of your purchase amount or its as-converted value. On a dissolution, you receive your purchase amount if proceeds allow. Both are junior to creditors and on par with other SAFEs and preferred equity.

      Is OakTech profitable today?

Yes. 2025 audited revenue was about $1.0M at a 69% gross margin and a 59% pre-tax net margin, from 11 active clients.

How was the $25M cap set?

Management based it on the current revenue trajectory, unit economics and comparable capital-markets technology transactions. At the projected 2026 ARR of $3.0M, $25M is roughly 8× ARR.

      What diligence materials are available?

Audited 2025 financial statements, the draft SAFE agreement, the investor deck, the financial model, product teasers for all four service lines, client references after an NDA, and management interviews.

      How do I invest?

Book a call, sign an NDA to open the data room, complete diligence, then sign the SAFE and investor certificate. Funds are wired only according to written instructions OakTech sends you directly.
